1. Parties

Seller: Quicat, identified above. Buyer: the natural or legal person who signs in to app.quicat.com with a Microsoft account and accepts this agreement on the basket page; name, e-mail, phone, Turkish ID or tax number and billing address are declared there and stored with the order.

2. Subject

The provision of the online software services (“Service”) ordered electronically by the Buyer, at the features and price below, under Law no. 6502 and the Distance Contracts Regulation. Consumer-only provisions do not apply to merchants or legal entities.

3. Service, price, payment

The plan, period (one month), net price, VAT and total were shown on the basket page and accepted by the Buyer. List prices: Brief TRY 990.00 (1,188.00 incl. VAT), Dispatch TRY 490.00 (588.00), Brief + Dispatch TRY 1,290.00 (1,548.00) per month. Payment is taken once by card via iyzico; the Seller does not see card data. An e-invoice is issued for each payment and sent to the declared e-mail address.

4. Performance

Access is granted to the Buyer’s Microsoft 365 tenant for one month on payment confirmation. Actual use depends on the Buyer’s Microsoft 365 administrator consenting to the Quicat apps, adding the Teams app package and setting the organizer list; the Seller supports these steps. The period does not renew unless the Buyer pays again; a new period starts when the current one ends.

5. Buyer’s undertakings

The Buyer confirms having read and accepted the Pre-Information Form and this agreement, will use the Service only for its own tenant and per the Terms of Use, will inform meeting participants and e-mail recipients about the nature of the Service, and will comply with Microsoft 365 terms.

6. Seller’s undertakings

The Seller provides the Service as described on Brief and Dispatch with reasonable care; it is not liable, absent its own fault, for planned maintenance or outages originating with Microsoft, Amazon Web Services or iyzico. Personal data is processed per Privacy and KVKK.

7. Withdrawal and refund

A consumer Buyer may withdraw within 14 days of the first payment. Where performance began with the Buyer’s consent and Brief produced a summary or Dispatch sent e-mail, withdrawal is not available for the performed part. Renewal payments carry no withdrawal right. Procedure: Cancellation and Refund.

8. Termination

Either party may terminate if the other does not cure a material breach within 7 days of written notice. The Buyer ends the agreement at period end by not renewing. If the Seller discontinues the Service, the unused part of the period is refunded.

9. Intellectual property

Software, marks and content belong to the Seller; meeting notes produced by Brief and e-mail sent through Dispatch belong to the Buyer.

10. Disputes

Consumer Buyers may apply to Consumer Arbitration Committees within the statutory limits, otherwise to Consumer Courts. Other disputes: Istanbul (Çağlayan) Courts and Enforcement Offices. Turkish law governs.

11. Entry into force

The agreement is concluded when the Buyer ticks the acceptance box and completes payment. Time of acceptance, IP address and contract version are stored with the order; a copy remains available at this address and is sent by e-mail on request.
